1. Introductory provisions
This English version is a translation for convenience. In case of any discrepancy, the Slovak version prevails.
These terms and conditions (“terms”) govern the relationship between the service provider Oxivy (“provider”) and its clients (“client”) in creating websites, e-shops, graphics and visual identity, photos and videos and in managing online advertising and social media (“services”).
- Operator
- Oxivy
- contact@oxivy.eu
Full identification details (business name, registered office and company ID) are provided in our quote and on request by e-mail.
If the client is a business acting within its business activity, the relationship is governed by the Slovak Commercial Code. If the client is a consumer, it is governed by the Slovak Civil Code and Act No. 108/2024 Coll. on consumer protection. Provisions marked as applying to consumers only do not apply to businesses.
Individual arrangements in a quote or contract take precedence over these terms.
2. How a contract is formed
- An enquiry (form, e-mail, phone) or a free consultation creates no obligation for either party.
- After the consultation the provider sends the client a quote by e-mail, stating the scope of work, price, payment terms and an estimated schedule. It is valid for 30 days unless stated otherwise.
- The contract is formed when the client expressly accepts the quote (e.g. by e-mail) or both parties sign a contract. The provider then confirms the contract on a durable medium (by e-mail).
- “From” prices on the website are indicative. The price in the accepted quote is binding.
3. Price and payments
- Prices on the website exclude VAT. If the provider is a VAT payer, VAT at the statutory rate is added; the final price including any VAT is always stated in the quote.
- For one-off projects (websites, e-shops, graphics) 50% of the price is usually paid as a deposit before work starts and 50% before launch or handover, unless the quote states otherwise.
- Monthly services (ad and social media management) are paid monthly in advance.
- The advertising budget (credit for Meta, Google, etc.) is not part of the service price; the client pays it directly to the ad platform.
- Invoices are due within 14 days of issue. In case of late payment the provider may pause work until payment; agreed deadlines move accordingly.
- Work beyond the accepted quote (new features, extra subpages, new requirements) is priced in advance and carried out only with the client’s approval.
4. Cooperation
- Deadlines assume the client provides the necessary materials (texts, photos, logo, access) and feedback on time. Client delays move deadlines accordingly.
- Design revisions within the original brief are included in the price; we refine the design until it fits the brief. Changing the brief after the design is approved counts as extra work.
- The client is responsible for having the right to use the materials it provides (texts, photos, logos) and for them not infringing third-party rights.
- The provider performs the services with professional care and keeps the client informed of progress.
5. Handover and launch
- The provider hands over the finished work by launching the website on the client’s domain or making the materials available, and confirms the handover by e-mail.
- The client may report defects within 7 days of handover; if none are reported, the work is deemed accepted. This does not affect consumers’ statutory rights regarding defects.
- Where possible, the domain and hosting are registered in the client’s name. Fees for the domain, hosting and paid third-party services (e.g. licences) are paid by the client unless the quote states otherwise.
6. Copyright and references
- Upon full payment the client receives an exclusive licence, unlimited in time and territory, to use the work (design, website, graphics, texts, photos and videos) for the purpose it was created for, under Slovak Act No. 185/2015 Coll. (Copyright Act).
- Third-party components (e.g. fonts, stock photos, plugins, open-source libraries) are subject to their authors’ licence terms.
- The provider may show the work in its portfolio and references unless the client requests otherwise in writing.
7. Liability and complaints
- The client may report defects in a service by e-mail. The provider confirms receipt and handles the complaint without undue delay, within 30 days at the latest, and remedies justified defects free of charge.
- For advertising and social media the provider guarantees a professional approach, not a specific number of enquiries, sales or search ranking, which also depend on the market, budget and decisions of ad platforms.
- The provider is not liable for outages or changes of third-party services (hosting, ad platforms, social networks) or for content supplied by the client.
- If the client is a business, the provider’s total liability for damage is limited to the price paid for the service concerned. This limitation does not apply to consumers or to damage caused intentionally.
8. Withdrawal from the contract (consumers)
A consumer who concluded a contract at a distance (e-mail, phone, online) may withdraw without giving a reason within 14 days of its conclusion by sending an unambiguous statement by e-mail or post, optionally using the model form below. The deadline is met if the notice is sent on the last day at the latest.
If the consumer wants us to start work before the 14 days expire, we ask for their express consent and acknowledgement that they lose the right of withdrawal once the service has been fully performed. If they then withdraw before full performance, they pay for the service actually provided up to the delivery of the withdrawal notice.
After withdrawal we refund all payments received (less the price of services already provided under the previous paragraph) within 14 days, using the same payment method.
Model withdrawal form (complete and return it only if you wish to withdraw from the contract):
- To: Oxivy, e-mail contact@oxivy.eu
- I/We hereby give notice that I/we withdraw from my/our contract for the provision of the following service: …
- Date of conclusion of the contract: …
- Name of consumer(s): …
- Address of consumer(s): …
- Signature of consumer(s) (only if this form is submitted on paper): …
- Date: …
9. Dispute resolution and supervision
If you are not satisfied with how we handled your complaint or believe we have violated your rights, first send us an e-mail asking for redress. If a consumer receives a negative reply or no reply within 30 days, they may submit a proposal for alternative dispute resolution under Slovak Act No. 391/2015 Coll.
The alternative consumer dispute resolution body is primarily the Slovak Trade Inspection (Slovenská obchodná inšpekcia), Bajkalská 21/A, P. O. BOX 29, 827 99 Bratislava 27, e-mail ars@soi.sk or adr@soi.sk, www.soi.sk. The consumer may also choose another body from the list kept by the Ministry of Economy of the Slovak Republic. Alternative dispute resolution is free of charge.
Compliance with consumer protection obligations is supervised by the Slovak Trade Inspection, namely the inspectorate competent for the provider’s registered office.
10. Final provisions
- Communication takes place mainly by e-mail; e-mail is considered written form.
- Personal data is processed according to our Privacy policy.
- The provider may change these terms. Contracts already concluded are governed by the version valid at the time of their conclusion.
- Matters not covered by these terms are governed by the laws of the Slovak Republic.
